Keystone Technologies Terms and Conditions

These Terms govern Keystone Technologies’ public website and any service that Keystone itself offers directly under its own name. A project agreement, MSA, SOW, order form or client-branded product terms may set different terms and will control for that project or product. A client’s app terms govern the client’s app users.

1. Parties, terms and scope

“Keystone” means Keystone Technologies, the business name used by Proprietor Praveena Mehta, at Veera Desai Rd, Andheri West, Mumbai, India, 400053. “You” means an individual using the website or a representative of an organisation using a service. “Services” means only the website and direct services Keystone identifies as its own.

These Terms do not by themselves form a software development contract, grant ownership in project deliverables or make Keystone the operator of software built for a client. Those subjects are governed by a separately signed agreement.

2. Acceptance and authority

By using a Keystone website or service, you agree to these Terms. If you do not agree, stop using the service. If you accept on behalf of an organisation, you confirm that you are authorised to bind it.

If a service requires a signed order or contract, that document must be accepted by the appropriate parties and will govern the paid engagement.

3. Eligibility and accounts

You must have legal capacity under applicable law to use the service. A parent, guardian or organisation may not create an account for a child unless the relevant service expressly permits it and the required safeguards are in place.

Provide accurate information, protect account credentials, use individual access where available, and notify Keystone promptly of suspected unauthorised access. You are responsible for actions taken using your account, except to the extent caused by Keystone’s failure to meet an obligation that applies to it.

4. Service descriptions and availability

Keystone provides technology development, consulting and related digital services only as described in an accepted proposal, project agreement or service page. Service features, availability, timelines and support commitments are defined by the applicable document.

Keystone may maintain, update or change a website or direct service. Keystone will use reasonable efforts to give notice of material changes where practicable. A separately signed agreement controls any uptime, support or service-level commitment.

5. User conduct

You must use the service lawfully and must not attempt to gain unauthorised access, disrupt or overload systems, introduce malicious code, impersonate another person, infringe another party’s rights, or use the service to send unlawful or harmful content.

You must not reverse engineer or bypass technical restrictions except where applicable law expressly permits it and the restriction cannot lawfully prevent that activity.

Keystone may investigate credible misuse and restrict access as described in Section 12. The restrictions in these Terms do not create an obligation to monitor all user content.

6. User materials and project data

You retain rights in materials you provide. You grant Keystone a limited, non-exclusive permission to host, copy, display and use those materials only as reasonably necessary to provide the relevant service, comply with your instructions, maintain security and meet legal obligations.

You confirm that you have the rights and authority needed to provide the materials and instructions. Do not upload personal or confidential data unless the service and contract permit it.

For client project data, the relevant client agreement and DPA govern processing. These Terms do not grant Keystone permission to use client data for advertising, unrelated model training or unrelated product development.

7. Intellectual property

Keystone and its licensors retain rights in Keystone’s website, branding, pre-existing tools, reusable methods, software and materials except where a separate written contract assigns or licenses particular rights.

Any rights in custom deliverables, source code, client materials, open-source components or third-party tools are governed by the signed project agreement and their applicable licences. Nothing in these Terms overrides an express written assignment or licence.

8. Fees, orders and cancellation

Prices, scope, milestones, billing, payment, cancellation and any applicable charges are stated in the accepted proposal, order form, invoice or service agreement. If a legally required charge applies, it will be stated in the relevant commercial document.

An online order is subject to the displayed description, price, provider terms and confirmation. Refund and cancellation rights provided by mandatory consumer law are not excluded by these Terms.

9. Third-party services

A service may rely on a third-party cloud, payment, communications, app-store, identity, analytics or other provider. Third-party services are governed by their own terms and privacy notices. Keystone is not responsible for a provider’s independent systems or decisions.

Keystone maintains reasonable security practices and procedures appropriate to the nature of each service. However, no website, system, network or transmission can be guaranteed to be completely secure, and Keystone does not warrant that any service will be free from data loss, corruption, interception or unauthorised access. To the fullest extent permitted by applicable law, and provided Keystone has maintained such reasonable security practices, Keystone shall not be responsible or liable for any loss, corruption or unavailability of data, any data breach, or any unauthorised access or other security incident, including any incident arising from a third-party provider, from your own systems, devices, credentials or conduct, from the malicious acts of third parties, or from other events beyond Keystone’s reasonable control. You remain responsible for maintaining appropriate backups of your own data and materials.

You authorise any integration only to the extent you have the authority to grant that access. Review provider permissions and disconnect integrations when no longer needed.

10. Privacy

Keystone’s Privacy Policy describes data handling for Keystone-operated websites and direct services. If Keystone processes personal data for a business client, the client’s notice and the project DPA apply to that processing. If another client operates a branded app or service, that client’s terms and notice govern its users.

Any personal data or other data that a business client provides to Keystone, or directs Keystone to process, will be used and processed solely in accordance with that client’s privacy notice, its documented instructions and the applicable project agreement and DPA, and for no other purpose. In respect of such data, Keystone acts only on the client’s behalf. The client remains solely responsible for the lawfulness of the data’s collection and of its instructions, for providing all notices required by law, and for obtaining any consents or authorisations needed for Keystone’s processing. To the fullest extent permitted by applicable law, Keystone shall not be liable for any processing carried out in accordance with the client’s notice or instructions.

11. Warranties and disclaimers

Keystone will perform paid services in accordance with the applicable signed agreement. Except for commitments expressly stated in that agreement and rights that cannot be excluded under law, the website and general information are provided on an “as available” basis.

Information on a website is general information and is not professional legal, financial, medical or other regulated advice. Keystone does not promise that a website will be uninterrupted or error-free.

Nothing in these Terms excludes a statutory warranty, consumer guarantee or remedy that cannot lawfully be excluded.

12. Suspension and termination

You may stop using a service at any time, subject to any payment or notice obligations in a signed agreement. Keystone may suspend access where reasonably necessary to address a security threat, unlawful use, material breach, non-payment under an applicable contract or risk to users or systems. Where practicable, Keystone will give notice and a chance to remedy the issue.

On termination, account access may end and data will be handled under the Privacy Policy, the applicable contract and legal retention requirements. Provisions that by nature should continue will survive.

13. Liability

To the extent permitted by applicable law, neither party is liable for indirect or consequential losses that were not reasonably foreseeable when the relevant agreement was made. This does not limit liability for fraud, wilful misconduct, or any liability that law does not permit a party to exclude.

For paid business services, any agreed liability cap in a signed MSA or SOW applies. These public Terms do not impose a blanket liability cap on a consumer or override mandatory consumer rights.

14. Indemnity

You are responsible for claims caused by materials or instructions you provide where you lacked authority to provide them, or by your unlawful use or material breach of these Terms. Any indemnity is limited to the extent the claim was caused by your act or omission and does not cover Keystone’s own breach, negligence or wilful misconduct.

15. Complaints, law and general terms

Keystone will respond within any deadline imposed by applicable law. These contact details do not imply that Keystone is an intermediary or e-commerce entity subject to a particular grievance rule; that status depends on the service actually operated.

These Terms are governed by Indian law, subject to mandatory rules protecting consumers. Courts with competent jurisdiction in Mumbai, India may hear disputes, subject to any valid dispute clause in a signed project agreement and mandatory consumer jurisdiction rules.

If a provision is unenforceable, the remaining provisions continue to apply. A delay in enforcing a term is not a waiver. These Terms and the applicable service documents form the agreement for their subject matter. Keystone will post the current version with its effective date and give additional notice of material changes where required.
